Welcome to the MiningClawd mining intelligence platform, operated by Geovision AI Mining Pty Ltd (trading as MiningClawd). By registering or using this platform, you confirm you have read, understood and agree to these Terms.

MiningClawd 是面向矿业专业人士的智能数据分析平台，主要服务包括：
MiningClawd is an intelligent data analytics platform for mining professionals, providing:
- 全球矿业公司数据库（700+家，涵盖 ASX、NYSE、TSX、LSE）Global mining company database (700+ companies across ASX, NYSE, TSX, LSE)
- 14大类矿业情报报告（宏观/地缘/ESG/商品/合规等）14 categories of mining intelligence reports (Macro, Geopolitical, ESG, Commodity, Compliance, etc.)
- 3D 钻探数据可视化与分析工具3D drilling data visualisation and analysis tools
- AI 智能代理服务（Lobby / Crabby / Pincer / Clawdia）AI Agent services (Lobby / Crabby / Pincer / Clawdia)
- 多渠道集成（Email、LinkedIn、WhatsApp）Multi-channel integration (Email, LinkedIn, WhatsApp)
我们保留在不另行通知的情况下修改部分服务功能的权利，涉及付费服务的实质性变更将提前30天通知。
We reserve the right to modify service features without notice; material changes affecting paid services will be communicated 30 days in advance.
3.2 服务性质声明 / 3.2 Service Classification
本平台提供的全部服务属于一般性信息服务,非受监管的财务、投资或法律咨询服务。AI Agent(Lobby、Crabby、Pincer、Clawdia)的分析输出仅供用户参考,不构成《公司法》第766B条定义的金融产品建议,亦不替代持牌专业人士的独立判断。用户应就投资、法律、会计或采矿工程决策独立咨询持证专业人士。
All services provided by this platform are general information services and do not constitute regulated financial, investment or legal advisory services. AI Agent analysis outputs (Lobby, Crabby, Pincer, Clawdia) are for reference only, do not constitute financial product advice as defined in Corporations Act s766B, and do not substitute independent judgement by licensed professionals. Users should independently consult licensed professionals for investment, legal, accounting or mining engineering decisions.
3.3 自主代理功能范围限制 / 3.3 Autonomous Agent Scope Limitations
AI Agent 的自主执行模式（Autonomous Mode）受以下服务条件约束：(a) 所有对外通信（包括但不限于电子邮件、LinkedIn 消息、WhatsApp 消息）须经用户明确审批后方可发送；(b) 所有通过第三方渠道发出的 AI 生成内容须标注"AI 生成内容"标签；(c) Agent 不得代表用户发出任何可能构成金融产品建议、法律意见或具有误导性的声明；(d) 用户须定期审查 Agent 的自主操作日志，并对所有自主执行的操作承担最终责任。违反上述限制可能导致 Autonomous Mode 功能被暂停或终止。
The AI Agent Autonomous Mode is subject to the following service conditions: (a) all outbound communications (including but not limited to emails, LinkedIn messages, WhatsApp messages) require express user approval before sending; (b) all AI-generated content sent via third-party channels must be labelled as "AI-generated content"; (c) Agents must not issue any statements on behalf of users that may constitute financial product advice, legal advice, or that are misleading or deceptive; (d) users must regularly review Agent autonomous operation logs and bear ultimate responsibility for all autonomously executed operations. Breach of these limitations may result in suspension or termination of Autonomous Mode functionality.

账号注册与安全Account Registration & Security
4.1 注册资格 / 4.1 Eligibility
使用本服务须年满18周岁，且具备签订具有法律约束力合同的完全民事行为能力。代表企业注册的用户须拥有相应授权。
You must be at least 18 years old and have full legal capacity to enter binding contracts. Users registering on behalf of an organisation must have authority to do so.
4.2 账号安全 / 4.2 Account Security
您对账号下的所有活动负责。您应妥善保管登录凭证、不向他人共享账号，发现异常访问时立即通知我们（info@lynaimining.com）。
You are responsible for all activity under your account. You must keep credentials secure, not share your account, and notify us immediately of any unauthorised access at info@lynaimining.com.
4.3 违规通知义务 / 4.3 Breach Notification
如MiningClawd发现对您账户的未授权访问或怀疑发生数据泄露，我们将:(a)立即通过注册邮箱通知您;(b)在48小时内提供事件详情;(c)提供账户恢复协助;(d)如您的个人数据受影响,遵守《隐私法》第IIIC部分关于数据泄露的义务,包括第26WH条下的评估义务及第26WL条下的通知义务。
If MiningClawd discovers unauthorised access to your account or suspects a data breach, we will: (a) notify you immediately via your registered email; (b) provide incident details within 48 hours; (c) offer account recovery assistance; (d) if your personal data is affected, comply with Privacy Act Part IIIC data breach obligations, including the assessment obligation under s26WH and the notification obligation under s26WL.

用户权利与限制User Rights & Restrictions
在遵守本条款的前提下，我们授予您有限的、非独占的、不可转让的权利，用于访问和使用本服务功能。
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the service.
禁止行为 / Prohibited Conduct
- 使用自动化工具批量抓取平台数据Using automated tools to bulk-scrape platform data
- 将平台数据用于构建竞争性数据产品Using platform data to build competing data products
- 共享账号给未授权第三方Sharing account credentials with unauthorised third parties
- 发布虚假矿业数据或误导性投资信息Publishing false mining data or misleading investment information
- 对平台进行反向工程或渗透测试（未获书面授权）Reverse-engineering or penetration testing the platform without written authorisation
第六条Article 6
内容所有权Intellectual Property
平台全部内容（数据库、报告、AI分析结果、软件代码、界面设计）受澳大利亚及国际知识产权法保护，归 Geovision AI Mining Pty Ltd 所有或经授权使用。
All platform content (database, reports, AI analysis, software code, UI design) is protected by Australian and international IP law and owned by or licensed to Geovision AI Mining Pty Ltd.
订阅用户下载的情报报告仅限个人或企业内部使用，不得转售或公开发布。
Downloaded intelligence reports are for personal or internal business use only and may not be resold or publicly distributed.
第七条Article 7
付费服务Paid Services
付费订阅的具体条款（价格、自动续费、退款政策）详见《订阅与支付协议》（MC-LEGAL-03），该文件为本条款的组成部分。
Specific terms for paid subscriptions (pricing, auto-renewal, refund policy) are set out in the Subscription & Billing Terms (MC-LEGAL-03), which forms part of these Terms.
第八条Article 8
服务变更与终止Service Changes & Termination
您可随时通过账号设置申请注销账号。注销后，数据将在30天保留期后按隐私政策规定处理。
You may close your account at any time via account settings. Following closure, data will be handled per our Privacy Policy after a 30-day retention period.
如您违反本条款，我们有权暂停或终止您的账号，付费用户若因违规被终止，不予退款。
We may suspend or terminate your account for breach of these Terms. Paid users terminated for breach will not receive a refund.

Geovision AI Mining Pty Ltd does not hold an Australian Financial Services Licence (AFSL) and does not carry on a financial services business as defined in Corporations Act s766B. This platform provides general information only under Corporations Act s766B and does not constitute investment advice, financial advice or securities recommendations. Users requiring investment advice must consult an AFSL-licensed financial adviser. The platform accepts no liability for losses arising from investment decisions based on platform information.

We do not warrant uninterrupted or error-free service, absolute data accuracy, or reliability of AI Agent outputs. The platform is provided 'as is'.
第十条Article 10
责任限制Limitation of Liability
在法律允许的最大范围内，MiningClawd 对任何间接、附带、特殊或后果性损失不承担责任。MiningClawd 因本条款产生或与之相关的总责任以索赔发生前12个月内用户实际支付的订阅费用为限。
To the maximum extent permitted by law, MiningClawd is not liable for any indirect, incidental, special or consequential loss. MiningClawd's aggregate liability arising out of or in connection with these Terms is limited to the subscription fees paid in the 12 months preceding the claim.
本条款中的任何内容均不排除、限制或修改澳大利亚消费者法下不可依法排除、限制或修改的任何消费者保证、权利或补救，包括：(a) 可接受质量的保证（第54条）；(b) 服务以适当谨慎和技能提供的保证（第60条）；及 (c) 符合特定目的的保证（第55条和第61条）。
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted or modified, including: (a) the guarantee of acceptable quality (section 54); (b) the guarantee that services will be rendered with due care and skill (section 60); and (c) the guarantee of fitness for purpose (sections 55 and 61).
在法律允许的范围内，如因违反消费者保证而产生的责任可予限制，MiningClawd 的责任限于（由其选择）：(a) 就商品而言—更换或修理商品，或支付更换或修理费用；(b) 就服务而言—重新供应服务，或支付重新供应费用。
To the extent permitted by law, where liability for breach of a consumer guarantee can be limited, MiningClawd's liability is limited, at its option: (a) for goods, to replacement or repair of the goods, or payment of the cost of replacement or repair; and (b) for services, to resupply of the services, or payment of the cost of resupply.
第十一条Article 11
适用法律与争议解决Governing Law & Dispute Resolution
本条款受澳大利亚维多利亚州法律管辖。争议解决按以下流程进行:(a)友好协商(30天内);(b)如协商不成,由澳大利亚国际商事仲裁中心(ACICA)调解(60天内);(c)如调解失败,提交根据联合国国际贸易法委员会仲裁规则进行的有约束力仲裁,仲裁地为澳大利亚维多利亚州墨尔本,仲裁员的裁决为终局裁决并可根据《纽约公约》强制执行。任何一方保留就紧急临时救济向维多利亚州法院申请的权利。
These Terms are governed by the laws of Victoria, Australia. Disputes shall be resolved as follows: (a) good-faith negotiation (within 30 days); (b) if unresolved, mediation administered by the Australian Centre for International Commercial Arbitration (ACICA) (within 60 days); (c) if mediation fails, binding arbitration under UNCITRAL Arbitration Rules, seated in Melbourne, Victoria, Australia. The arbitrator's award shall be final and enforceable under the New York Convention. Either party retains the right to seek urgent interim relief from the courts of Victoria.
