第一条Article 1

定义Definitions

核心定义Key Terms

本协议中的"许可数据"包括通过 MiningClawd 平台可访问的所有矿业数据，涵盖多个数据分类与来源。

The "Licensed Data" under this Agreement includes all mining data accessible through the MiningClawd platform, spanning multiple data categories and sources.

许可方 (Licensor)：指 Geovision AI Mining Pty Ltd ABN 27 687 204 799及其关联企业。

Licensor: Geovision AI Mining Pty Ltd ABN 27 687 204 799 and its affiliates.

被许可方 (Licensee)：指与许可方签订订阅协议、获得平台访问权限的个人或组织。

Licensee: Any individual or organisation that has signed a subscription agreement and gained platform access rights.

许可数据 (Licensed Data)：指平台内可访问的所有矿业数据，包括但不限于公开市场数据、专有分析、AI生成见解、3D地质模型和情报报告。

Licensed Data: All mining data accessible on the platform, including public market data, proprietary analysis, AI-generated insights, 3D geological models, and intelligence reports.

授权用途 (Authorized Purpose)：指被许可方根据其订阅级别，将许可数据用于内部业务决策、市场分析、投资研究等合法目的，但不包括转售、转授权或竞争性使用。

Authorized Purpose: Internal business decision-making, market analysis, and investment research by Licensee according to its subscription tier, excluding resale, sublicensing, or competitive use.

JORC 规范：指 2012 年澳大利亚矿业勘探结果、矿产资源和矿产储量报告准则（JORC Code 2012）。

JORC Code: The 2012 Australasian Code for Reporting of Exploration Results, Mineral Resources and Ore Reserves.

胜任人 (Competent Person)：指根据 JORC Code 2012 具备资质的矿业专业人士，有权对矿产资源/储量数据进行公开陈述。

Competent Person: A mining professional with qualifications per JORC Code 2012, authorised to make public statements on mineral resource/reserve data.

持续披露义务 (Continuous Disclosure)：指上市公司根据 ASX 上市规则必须及时向市场披露价格敏感信息的法律义务。

Continuous Disclosure: The ASX listing rule obligation for listed companies to promptly disclose price-sensitive information to the market.

市场完整性规则：指澳大利亚证券和投资委员会（ASIC）制定的市场行为监管规则，旨在防止市场操纵和欺诈行为。

Market Integrity Rules: ASIC regulations governing market conduct to prevent market manipulation and fraud.

第二条Article 2

数据分类与来源Data Classification & Sources

MiningClawd 平台上的许可数据分为以下几类，每个数据类别都有不同的来源、更新频率和分类级别：

Licensed Data on the MiningClawd platform is classified into the following categories, each with distinct sources, update frequencies and classification levels:

分类定义：公开数据可自由使用；受限数据仅供订阅用户内部使用；机密数据受额外保密约束。被许可方应根据数据分类级别采取相应的保护措施。

Classification Definitions: Open data may be used freely; Restricted data is for Licensee internal use only; Confidential data requires additional confidentiality protections. Licensees must implement safeguards proportionate to data classification.

第三条Article 3

授权范围License Grant

许可方授予被许可方一项非独占的、不可转让的、可撤销的许可，使其在遵守本协议的前提下访问和使用许可数据。许可范围与被许可方的订阅级别直接挂钩。

Licensor grants Licensee a non-exclusive, non-transferable, revocable licence to access and use Licensed Data, subject to this Agreement. License scope is tied directly to Licensee's subscription tier.

3.1 专业级许可 / 3.1 Professional Tier

限于被许可方个人或内部团队（最多5人）的业务分析和投资研究。禁止任何形式的内部转授权、组织内共享配额或流量共享。

Limited to Licensee individual or internal team (max 5 users) for business analysis and investment research. Prohibited: internal sublicensing, organisation-wide sharing, or traffic pooling.

3.2 企业级许可 / 3.2 Enterprise Tier

允许被许可方组织内的合理使用，包括有限的部门内共享（如投资部、市场部、合规部），但不得向外部顾问、投资银行或竞争对手共享。需书面批准才可进行子许可。

Permits reasonable use within Licensee's organisation, including limited inter-departmental sharing (e.g., investment, trading, compliance teams), but not to external advisors, investment banks or competitors. Sublicensing requires written approval.

3.3 转授权禁令 / 3.3 Sublicensing Prohibition

未经许可方书面同意，被许可方不得转授权许可数据给任何第三方，包括合并/收购情景下的收购方。任何无授权转授权行为将导致许可立即终止并可能引起法律诉讼。

Without Licensor's written consent, Licensee may not sublicense Licensed Data to any third party, including acquirers in M&A scenarios. Unauthorised sublicensing voids this licence and may result in legal action.

第四条Article 4

使用限制Use Restrictions

严格限制Strict Prohibitions

违反以下任何限制将导致许可立即终止、数据访问被永久撤销，以及可能的损害赔偿和法律诉讼。

Breach of any restriction below will result in immediate licence termination, permanent data access revocation, and potential damages and legal action.

4.1 禁止再分发和转售 / 4.1 No Redistribution or Resale

被许可方不得以任何形式再分发、出售、租赁或转授权许可数据，包括通过以下途径：

向投资者、客户或合作伙伴出售或提供数据访问权
将数据发布到数据市场、公开 API 或内容分发网络
在收并购交易中将许可作为资产转让给买方
通过电子邮件、云存储或共享平台与无关第三方共享数据副本

Licensee may not redistribute, sell, lease, or sublicense Licensed Data in any form, including via:

Selling or granting data access to investors, clients, or partners
Publishing data on data marketplaces, public APIs, or content distribution networks
Transferring the licence as an asset in M&A transactions to the buyer
Sharing data copies with unrelated third parties via email, cloud storage, or shared platforms

4.2 禁止竞争性使用 / 4.2 No Competitive Use

被许可方不得使用许可数据来建立、增强或运营与 MiningClawd 竞争或功能相似的数据产品、平台或服务。这包括：

构建矿业数据库、情报平台或分析工具
创建数据聚合服务或数据经纪业务
使用 MiningClawd 的数据为竞争对手培训 AI 模型

Licensee may not use Licensed Data to build, enhance, or operate products, platforms or services that compete with or duplicate MiningClawd functionality. This includes:

Building mining databases, intelligence platforms or analytics tools
Creating data aggregation services or data brokerage businesses
Training AI models for competitors using MiningClawd data

4.3 版权和归属声明 / 4.3 Copyright & Attribution Notices

被许可方不得删除、模糊或修改许可数据中的任何版权、商标、许可或归属声明。任何内部文档、演示或报告中引用许可数据时，必须保留原始出处和 MiningClawd 归属。

Licensee must not remove, obscure, or modify any copyright, trademark, licence or attribution notices in Licensed Data. Any internal documents, presentations, or reports referencing Licensed Data must retain original source attribution and MiningClawd credit.

4.4 禁止市场操纵 / 4.4 Market Manipulation Prohibition

根据澳大利亚证券和投资委员会（ASIC）市场完整性规则，被许可方不得使用许可数据进行任何形式的市场操纵、内幕交易、虚假陈述或欺诈行为。这包括：

散布虚假或误导性的矿业信息以操纵股票价格
利用非公开或未经验证的地质数据进行内幕交易
向媒体或分析师散布未经验证的报告以造成市场影响

Per ASIC Market Integrity Rules, Licensee may not use Licensed Data for market manipulation, insider trading, misrepresentation, or fraud. This includes:

Spreading false or misleading mining information to manipulate stock prices
Insider trading using non-public or unverified geological data
Leaking unverified reports to media or analysts to create market impact

4.5 禁止衍生数据库 / 4.5 No Derivative Databases

被许可方不得利用许可数据的有实质性部分创建衍生数据库、数据集或数据聚合，即使经过重新格式化、改进或增强。被许可方不得声称对任何此类衍生工作拥有数据库权（sui generis）。

Licensee may not create derivative databases, datasets, or aggregations using substantial portions of Licensed Data, even if reformatted, enhanced or improved. Licensee may not claim database rights (sui generis) in any such derivative work.

4.6 API 使用限制 / 4.6 API Usage Quotas

自动化大规模下载或API 访问受配额限制，具体由被许可方的订阅级别确定：

专业级：每天 1,000 API 调用
企业级：每天 10,000 API 调用

超过配额的请求将被拒绝。被许可方不得试图绕过配额限制或进行可能导致数据抓取的重复查询。

Automated bulk downloads and API access are subject to quotas per Licensee's subscription:

Professional: 1,000 API calls/day
Enterprise: 10,000 API calls/day

Requests exceeding quotas will be rejected. Licensee must not attempt quota bypass or perform repetitive queries constituting data scraping.

4.7 引用要求 / 4.7 Citation Requirements

当在内部文档、研究报告或演示中引用或参考许可数据时，被许可方应当：

清晰标注数据来源（如"来源：MiningClawd"或"数据：MiningClawd Intelligence"）
对于特定的情报报告，引用报告名称和发布日期
对于市场数据，引用原始交易所（如"ASX 数据"）
对于 AI 生成的见解，披露该数据由 AI 模型生成

这些引用要求确保数据溯源透明，有助于避免对数据权威性的混淆。

When citing or referencing Licensed Data in internal documents, research, or presentations, Licensee should:

Clearly attribute the data source (e.g., "Source: MiningClawd" or "Data: MiningClawd Intelligence")
For intelligence reports, cite report title and publication date
For market data, reference the original exchange (e.g., "ASX data")
For AI-generated insights, disclose AI model generation

These citation requirements ensure data provenance transparency and prevent confusion about data authority.

第五条Article 5

JORC规范合规条款JORC Code Compliance Provisions

5.1 数据来源与审计 / 5.1 Data Source & Audit

平台上的矿产资源/储量数据来源于各矿业公司的公开披露文件(ASX公告、年报、NI 43-101报告等)。MiningClawd不对这些数据进行JORC合规审计,不保证数据符合JORC规范2012的报告要求。

Mineral resource/reserve data on the platform is sourced from mining companies' public disclosure documents (ASX announcements, annual reports, NI 43-101 reports, etc.). MiningClawd does not audit this data for JORC compliance and does not warrant data meets JORC Code 2012 reporting requirements.

5.2 AI Agent Pincer 与胜任人定义 / 5.2 AI Agent Pincer & Competent Person Definition

AI Agent Pincer对矿产资源/储量的估算或分析不构成JORC规范第3.1条定义的'合格人员'估算。合格人员是指具有地质学或采矿工程学位且拥有5年以上相关矿产勘探/采矿经验的注册专业人士(依据JORC规范2012第1.2条)。MiningClawd员工不具备合格人员资格。

AI Agent Pincer estimates or analyses of mineral resources/reserves DO NOT constitute 'Competent Person' estimates as defined in JORC Code s3.1. A Competent Person is a registered professional with a geology or mining engineering degree and 5+ years of relevant mineral exploration/mining experience (per JORC Code 2012 s1.2). MiningClawd staff do not qualify as Competent Persons.

5.3 严禁将AI分析作为JORC报告依据 / 5.3 Prohibition on AI Analysis in JORC Reports

严禁将AI分析作为JORC报告依据Prohibition: AI Analysis Cannot Be JORC Report Basis

用户严禁:(a)将MiningClawd AI分析直接用作JORC合规报告的依据;(b)在没有合格人员独立核实的情况下将AI估算作为公开披露中的资源/储量数字;(c)将AI生成的地质模型呈递给监管机构作为正式技术报告。违反本条款可能导致用户违反ASX上市规则第5.6条和JORC规范第1条,MiningClawd对此不承担任何责任。

Users must NOT: (a) Use MiningClawd AI analysis directly as the basis for JORC compliance reports; (b) Present AI estimates as resource/reserve figures in public disclosures without independent verification by a Competent Person; (c) Submit AI-generated geological models to regulators as formal technical reports. Breach may result in User violating ASX Listing Rules 5.6 and JORC Code s1; MiningClawd accepts no liability.

5.4 胜任人验证要求 / 5.4 Competent Person Verification Requirements

对于任何地质或钻探数据的内部使用或展示，被许可方必须确保由具有 JORC Code 2012 资格的胜任人进行独立验证和确认。MiningClawd 不提供胜任人验证或鉴证服务。

For any geological or drilling data used internally or presented externally, Licensee must ensure independent verification and confirmation by a Competent Person qualified under JORC Code 2012. MiningClawd does not provide Competent Person verification or assurance services.

5.5 赔偿 / 5.5 Indemnification

被许可方同意赔偿、保卫并使许可方（包括其管理人员、员工和代理人）免受任何第三方索赔、诉讼、罚款或处罚，这些索赔产生于被许可方在 JORC 报告或向监管机构的提交中错误使用或不当引用 MiningClawd 数据。

Licensee agrees to indemnify, defend and hold harmless Licensor (including officers, employees, agents) from any third-party claims, litigation, fines or penalties arising from Licensee's misuse or improper citation of MiningClawd data in JORC reports or regulatory submissions.

第六条Article 6

ASX 上市规则合规ASX Listing Rules Compliance

持续披露合规Continuous Disclosure Rules

MiningClawd 数据不适合用于满足 ASX 上市公司的持续披露义务。上市公司必须遵循 ASX 上市规则和 ASIC 市场完整性规则的要求。

MiningClawd data is not appropriate for satisfying ASX continuous disclosure obligations for listed companies. Listed companies must comply with ASX Listing Rules and ASIC Market Integrity Rules.

6.1 非官方披露替代品 / 6.1 Not a Substitute for Official Disclosure

被许可方（尤其是上市公司）明确同意，MiningClawd 的公开市场数据、情报报告或 AI 分析不能用作满足 ASX Continuous Disclosure Requirements (ASX Listing Rule 3.1) 的唯一或主要基础。所有价格敏感信息必须首先通过正式的 ASX 公告进行披露。

Licensee (especially listed companies) expressly agrees that MiningClawd's public market data, reports or AI analysis cannot serve as the sole or primary basis for satisfying ASX Continuous Disclosure Requirements (ASX Listing Rule 3.1). All price-sensitive information must first be disclosed via formal ASX announcement.

6.2 价格敏感信息处理 / 6.2 Price-Sensitive Information

如被许可方是上市公司或上市公司的官员，使用 MiningClawd 数据时必须：

遵守内幕交易法规和 ASX 市场礼仪规则
在任何内部管理或董事会决议中使用数据之前，确保数据已合法公开或被适当认为为非价格敏感
维护关于 MiningClawd 数据访问和使用的完整审计日志
若数据可能影响股票价格，在向市场披露前等待相应的信息披露期限

If Licensee is a listed company or listed company officer, use of MiningClawd data must:

Comply with insider trading regulations and ASX market conduct rules
Ensure data is legally public or appropriately treated as non-price-sensitive before use in internal management or board decisions
Maintain complete audit logs of MiningClawd data access and use
Observe applicable information embargo periods before market disclosure if data could impact share price

6.3 ASIC 市场完整性认可 / 6.3 ASIC Market Integrity Acknowledgment

被许可方确认已阅读并理解《2001年公司法》（联邦）（包括第7.10部分）及适用的ASIC市场完整性规则下有关市场不当行为和误导行为的适用法律。被许可方同意在使用许可数据时遵守上述法律，包括不从事任何误导性、欺骗性或操纵性行为。

Licensee acknowledges it has read and understands applicable market misconduct and misleading conduct laws under the Corporations Act 2001 (Cth) (including Part 7.10) and applicable ASIC Market Integrity Rules. Licensee agrees to comply with those laws when using the Licensed Data, including not engaging in any misleading, deceptive or manipulative conduct.

6.4 MiningClawd数据在ASX公告中的引用 / 6.4 Citation of MiningClawd Data in ASX Announcements

用户不得将MiningClawd分析直接纳入ASX持续披露公告。如在ASX公告中引用MiningClawd数据:(a)须明确标注来源为'第三方分析,未经独立核实';(b)须附上MiningClawd免责脚注;(c)须确保符合ASX上市规则第3.1条(重大公告的事实依据要求);(d)须由公司董事或公司秘书确认披露内容符合规则。MiningClawd不对用户将平台数据用于ASX披露合规承担任何责任。

Users may not incorporate MiningClawd analysis directly into ASX continuous disclosure announcements. When citing MiningClawd data in ASX announcements: (a) clearly identify source as 'third-party analysis, not independently verified'; (b) include MiningClawd disclaimer footnote; (c) ensure compliance with ASX Listing Rules 3.1 (factual bases for material announcements); (d) confirm disclosure compliance through company directors or company secretary. MiningClawd accepts no liability for User's use of platform data in ASX disclosure compliance.

第七条Article 7

知识产权Intellectual Property

许可数据中包含的所有知识产权（包括版权、商标、专利和数据库权）均由许可方或其第三方许可人所有，或经授权使用。本许可仅授予对许可数据的有限使用权，不转让任何知识产权所有权。

All intellectual property in Licensed Data (including copyright, trademarks, patents, and database rights) is owned by Licensor, its third-party licensors, or is used under licence. This licence grants only limited use rights and does not transfer any IP ownership.

7.1 MiningClawd 所有权 / 7.1 MiningClawd Ownership

所有平台创建的数据库、分析、报告、AI 模型输出和网站设计的版权均属于 Geovision AI Mining Pty Ltd。被许可方不得声称对任何此类内容的所有权，也不得以其他方式使用该内容，除非明确获得书面授权。

Copyright in all platform-created databases, analytics, reports, AI outputs, and website design belongs to Geovision AI Mining Pty Ltd. Licensee may not claim ownership in any such content or otherwise use it except as expressly authorised in writing.

7.2 客户数据保留 / 7.2 Customer Data Retention

被许可方上传或提交给 MiningClawd 的所有数据（包括钻探数据、地质模型、上传的文件）的所有版权和知识产权完全保留给被许可方。许可方仅获得必要的许可证，用于处理、存储、显示和分析被许可方的数据以提供服务。

Licensee retains all copyright and intellectual property in any data uploaded or submitted to MiningClawd (including drilling data, geological models, uploaded files). Licensor receives only the limited licence necessary to process, store, display, and analyse Licensee data to provide services.

7.3 AI 衍生物联合知识产权 / 7.3 AI-Generated Derivative Works & Joint IP

当 MiningClawd 的 AI Agent（Lobby、Crabby、Pincer、Clawdia）或其他 AI 模型根据被许可方输入或被许可方上传的数据生成见解或分析时，所产生的 AI 衍生工作的知识产权归许可方和被许可方共同所有，但受以下限制：

被许可方可在内部使用该衍生工作，不得向第三方出售或转授权
许可方保留权利在不披露被许可方输入的情况下改进 AI 模型和算法
被许可方不得声称对 AI 模型本身或其基础算法拥有任何权利

When MiningClawd AI Agents (Lobby, Crabby, Pincer, Clawdia) or other AI models generate insights or analysis based on Licensee input or uploaded data, IP in the resulting AI derivative work is jointly owned by Licensor and Licensee, subject to:

Licensee may use the derivative work internally; may not sell or sublicense to third parties
Licensor retains rights to improve AI models and algorithms without disclosing Licensee input
Licensee may not claim rights in the AI model itself or its underlying algorithms

7.4 数据库权（Sui Generis） / 7.4 Database Rights (Sui Generis)

根据澳大利亚知识产权法和国际数据库权框架，MiningClawd 在其数据库（公开市场数据、企业基本面、地质库存）中享有 sui generis 数据库权。被许可方不得进行系统提取、重复再提取或实质部分或全部数据库的重新使用，即使经过重新格式化。这些权利独立于版权保护，得到澳大利亚知识产权法的保护。

Under Australian IP law and international database rights frameworks, MiningClawd enjoys sui generis database rights in its databases (public market data, company fundamentals, geological inventory). Licensee may not perform systematic extraction, repeated re-extraction, or reuse of substantial or all parts of any database, even if reformatted. These rights are independent of copyright and protected under Australian IP law.

7.5 道德权利 / 7.5 Moral Rights

许可方及其作者、分析师和贡献者保留《澳大利亚版权法》中的所有道德权利，包括获得署名/归属和反对贬损的权利。被许可方不得从许可数据中删除或以其他方式削弱归属或制作人信息。

Licensor and its authors, analysts, and contributors retain all moral rights under Australian Copyright Law, including rights to attribution and to object to derogatory treatment. Licensee may not remove or otherwise diminish attribution or creator information from Licensed Data.

第八条Article 8

数据准确性与免责Data Accuracy & Disclaimer

重大免责声明Material Disclaimer

MiningClawd 平台上的所有数据按"现状"提供，无任何明示或暗示保证。许可方不担保数据的准确性、完整性、及时性、真实性或适用于任何特定目的。被许可方对依赖许可数据进行的任何交易、决定或行为全权负责。

All data on MiningClawd is provided "as is" without any express or implied warranty. Licensor does not warrant accuracy, completeness, timeliness, authenticity, or fitness for any purpose. Licensee is solely responsible for any transaction, decision, or action relying on Licensed Data.

8.1 无准确性保证 / 8.1 No Accuracy Warranty

许可方不保证：

市场数据的绝对准确性或及时性（市场数据可能延迟 15 分钟或更长）
企业基本面数据与原始公开备案的 100% 一致性（数据可能包含来自公开来源的转录或处理错误）
AI 生成的见解、分析或预测的可靠性或准确性
地质数据的完整性、准确性或适用于实际勘探或采矿活动
情报报告内容的完全准确性，尤其是对地缘政治或市场发展的解释

Licensor does not warrant:

Absolute accuracy or timeliness of market data (may be delayed 15+ minutes)
100% alignment of company fundamentals with original public filings (may contain transcription or processing errors)
Reliability or accuracy of AI-generated insights, analysis, or forecasts
Completeness, accuracy, or suitability of geological data for actual exploration or mining activities
Complete accuracy of intelligence report content, especially interpretations of geopolitical or market developments

8.2 数据延迟与陈旧 / 8.2 Data Delays & Staleness

公开市场数据可能存在 15 分钟的标准延迟。企业财务数据每季度更新，地质数据的新鲜度因来源而异。被许可方应确定数据对其特定使用情况的时效性是否适当，并在必要时寻求当前的第三方数据确认。

Public market data carries a standard 15-minute delay. Company financials update quarterly; geological data freshness varies by source. Licensee should determine whether data timeliness is appropriate for its specific use case and seek current third-party data confirmation where necessary.

8.3 数据来源依赖 / 8.3 Third-Party Data Dependency

许多许可数据来自第三方来源（交易所、公开备案、地质调查、合作伙伴）。许可方依赖这些来源的完整性、准确性和定期更新，但对任何来源数据中的错误或遗漏不承担责任。被许可方应查证重要决定的数据真实性。

Much Licensed Data originates from third-party sources (exchanges, public filings, geological surveys, partners). Licensor relies on source integrity, accuracy and regular updates, but bears no responsibility for source data errors or omissions. Licensee should verify data authenticity for material decisions.

8.4 AI 分析局限 / 8.4 AI Analysis Limitations

AI 生成的见解可能包含幻觉、逻辑错误或对矿业专业知识的不完全理解。AI 分析不能替代人工专业判断、独立的地质验证或受过培训的矿业分析师的评估。许可方明确否认对 AI 输出的准确性或适用性的任何保证。

AI-generated insights may contain hallucinations, logical errors, or incomplete understanding of mining domain knowledge. AI analysis cannot substitute for human professional judgement, independent geological verification, or trained mining analyst evaluation. Licensor expressly disclaims any warranty regarding AI output accuracy or fitness.

8.5 ASIC Class Order 免责 / 8.5 ASIC Class Order Disclaimer

MiningClawd 根据 ASIC Class Order [CO 02/1502]（或任何继任者）的许可条款运营。许可方不提供财务产品建议，亦不代理投资，许可数据不构成财务产品建议。任何使用许可数据进行投资决定的被许可方均应独立确认数据和自行承担风险。

MiningClawd operates under ASIC Class Order [CO 02/1502] (or successors). 9.1 第三方许可条款继承 / 9.1 Third-Party Licence Terms Incorporation

被许可方同意，使用来自第三方提供商的数据时，也必须遵守该提供商的原始许可条款和使用政策。许可方与第三方之间的许可协议中的任何限制（如非再分发条款、非商业用途限制）对被许可方具有约束力，就如同被许可方直接与第三方签订了协议一样。

Licensee agrees that use of data from third-party providers is also subject to the provider's original licensing terms and use policies. Any restrictions in Licensor's licence agreements with third parties (such as non-redistribution clauses, non-commercial use limits) are binding on Licensee as if Licensee had directly contracted with the third party.

9.2 第三方免责条款应用 / 9.2 Third-Party Disclaimers Apply

许可方在此明确采纳所有第三方提供商的免责声明。被许可方明确确认，关于第三方数据的准确性、及时性或完整性的任何声明或保证应仅由该第三方提供商负责。许可方不对第三方数据的任何错误、遗漏、过时或失准承担责任。

Licensor hereby expressly adopts all third-party provider disclaimers. Licensee expressly acknowledges that any representations or warranties regarding third-party data accuracy, timeliness, or completeness are the sole responsibility of that third-party provider. Licensor bears no responsibility for any errors, omissions, staleness, or inaccuracy in third-party data.

9.3 与第三方的直接关系 / 9.3 Direct Relationship with Providers

对于关于第三方数据的任何问题、投诉或准确性争议，被许可方应首先直接联系相关的第三方提供商。许可方无权代表第三方提供商就其数据进行协议、修改或陈述。

For any questions, complaints, or accuracy disputes regarding third-party data, Licensee should contact the relevant third-party provider directly. Licensor has no authority to negotiate, modify, or make representations on behalf of third-party providers regarding their data.

第十条Article 10

客户上传数据Customer-Uploaded Data

被许可方（尤其是企业级用户）可以将数据上传到 MiningClawd 平台，以供内部分析、3D 可视化或 AI 分析。以下条款控制客户上传数据的所有权、机密性和使用。

Licensee (especially Enterprise tier users) may upload data to MiningClawd for internal analysis, 3D visualisation, or AI processing. The following terms govern ownership, confidentiality, and use of customer-uploaded data.

10.1 数据所有权保留 / 10.1 Ownership Retention

被许可方保留其上传到 MiningClawd 的所有数据的完全所有权、版权和知识产权。许可方不对客户上传数据进行任何所有权声明。

Licensee retains full ownership, copyright, and intellectual property in all data uploaded to MiningClawd. Licensor makes no ownership claim to customer-uploaded data.

10.2 使用许可 / 10.2 Limited Use Licence

通过上传数据，被许可方授予许可方一项有限的、非独占的许可，使其能够：

存储、托管和维护数据以提供服务
处理和分析数据以生成被许可方要求的见解、可视化或报告

By uploading data, Licensee grants Licensor a limited, non-exclusive licence to:

Store, host, and maintain data to provide services
Process and analyse data to generate requested insights, visualisations, or reports
Display data on the platform where needed (e.g., 3D geological models)
Back up and replicate data for system fault tolerance and disaster recovery

Licensor may not use customer-uploaded data for any other purpose, including sale, sublicensing, third-party disclosure, or improving competing products.

10.3 机密性义务 / 10.3 Confidentiality Obligations

许可方承诺将客户上传数据作为被许可方的机密信息处理，并采取行业标准的安全措施保护该数据，防止未授权访问、泄露或不当使用。许可方员工的访问仅限于提供服务所需的人员。关于具体的安全措施和数据保护，请见《隐私政策》（MC-LEGAL-02）。

Licensor commits to treating customer-uploaded data as Licensee's confidential information and implementing industry-standard security measures to protect it from unauthorised access, disclosure, or misuse. Employee access is limited to personnel who need it to provide services. For specific security measures and data protection, see Privacy Policy (MC-LEGAL-02).

10.4 多租户隔离 / 10.4 Multi-Tenant Isolation

MiningClawd 是一个多租户平台。许可方实施了逻辑和物理隔离措施，确保一个客户的上传数据对其他客户完全不可见，除非该客户显式选择共享（例如通过协作功能）。

MiningClawd is a multi-tenant platform. Licensor has implemented logical and physical isolation measures to ensure one customer's uploaded data is completely invisible to other customers unless that customer explicitly chooses to share (e.g., via collaboration features).

10.5 数据删除权 / 10.5 Right to Delete

被许可方可随时删除通过平台界面上传的任何数据。删除后，许可方将在合理的商业期限内（通常不超过 30 天）从活跃系统和备份中清除该数据。被许可方明确同意，许可方可能需要保留某些元数据或聚合统计信息以供系统管理和改进之用。

Licensee may delete any uploaded data at any time via the platform interface. Upon deletion, Licensor will purge the data from active systems and backups within a reasonable business timeframe (typically no more than 30 days). Licensee expressly consents that Licensor may need to retain certain metadata or aggregate statistics for system administration and improvement purposes.

数据导出与可携带性Data Export & Portability

被许可方有权以标准格式导出其客户数据。具体的数据导出条款（包括导出格式、速率限制和费用）详见《数据导出条款》（MC-LEGAL-10），该文件作为补充参考并整合到本协议中。

Licensee has rights to export its customer data in standard formats. Specific data export terms (including export formats, rate limits, and fees) are detailed in the Data Export Terms (MC-LEGAL-10), which is referenced as a supplementary document and incorporated herein.

11.2 速率限制 / 11.2 Rate Limits

数据导出受每日/每月速率限制约束，具体取决于被许可方的订阅级别：

专业级：每月 10 GB 导出容量
企业级：每月 100 GB 导出容量，可根据请求增加

超出容量的导出请求将被拒绝，直到下个计费周期。

Data exports are subject to daily/monthly rate limits based on subscription tier:

Professional: 10 GB export capacity/month
Enterprise: 100 GB export capacity/month, expandable on request

Export requests exceeding capacity will be rejected until the next billing period.

11.3 导出后数据处理 / 11.3 Post-Export Data Handling

导出数据后，被许可方对导出数据的安全性、保密性和合法使用完全负责。许可方对导出后发生的任何数据泄露、误用或违规使用不承担责任。导出的数据仍受本许可协议的使用限制约束（例如，不得再分发或用于竞争目的）。

Once data is exported, Licensee is solely responsible for the exported data's security, confidentiality, and lawful use. Licensor bears no responsibility for any data breaches, misuse, or violations occurring post-export. Exported data remains subject to this licence's use restrictions (e.g., no redistribution or competitive use).

11.4 API 导出与程序化访问 / 11.4 API Export & Programmatic Access

企业级用户可以通过 MiningClawd REST API 以编程方式访问和导出数据。所有 API 导出仍受上述速率限制、使用限制（第 4 条）和可携带性要求的约束。API 密钥和访问令牌必须受到严格保护，不得与未授权用户共享。

Enterprise tier users may access and export data programmatically via MiningClawd REST API. All API exports remain subject to rate limits above, use restrictions (Article 4), and portability requirements. API keys and access tokens must be strictly protected and not shared with unauthorised users.

违约后果Consequences of Breach

任何违反本协议的行为将导致严重的法律和商业后果，包括立即许可终止、数据访问撤销、法律诉讼和损害赔偿。

Any breach of this Agreement will result in serious legal and commercial consequences, including immediate licence termination, data access revocation, legal action, and damages.

12.1 立即终止 / 12.1 Immediate Termination

任何实质性违反本协议（包括但不限于未授权转授权、竞争性使用、再分发数据、向第三方泄露或进行市场操纵），许可方有权立即终止许可，无需通知或宽限期。被许可方将失去对平台的所有访问权，包括已上传的客户数据。

For any material breach (including unauthorised sublicensing, competitive use, data redistribution, third-party disclosure, or market manipulation), Licensor may immediately terminate the licence without notice or cure period. Licensee loses all platform access, including uploaded customer data.

12.2 禁止性救济 / 12.2 Injunctive Relief

被许可方同意，违反本协议中的使用限制或知识产权条款可能导致许可方及其第三方许可人难以估量的伤害。因此，除了其他救济外，许可方或其第三方许可人有权寻求禁止令、临时限制令和其他衡平法救济，以防止或制止任何实质性违规行为，毋须证明金钱救济的充分性。

Licensee agrees that breach of use restrictions or IP clauses could cause Licensor and its third-party licensors irreparable harm. Accordingly, in addition to other remedies, Licensor or its third-party licensors have the right to seek injunctive relief, temporary restraining orders, and other equitable remedies to prevent or stop any material breach, without having to prove inadequacy of monetary remedies.

12.3 限制性损害赔偿 / 12.3 Liquidated Damages

对于任何无授权再分发、转售或向第三方披露许可数据的情况，被许可方应支付给许可方限制性损害赔偿，金额为：

每次违规事件 AUD 5,000 起始费
加上估计的许可方损失（包括第三方许可人的损失、声誉伤害和调查成本）
对于涉及大规模数据转售或公开披露的情况，可额外罚款 AUD 50,000

这些费用是合理的预先估计，反映了可能难以证明的实际伤害，并补充而非取代其他法律救济。

For any unauthorised redistribution, resale, or third-party disclosure of Licensed Data, Licensee must pay Licensor liquidated damages:

AUD 5,000 baseline per breach incident
Plus estimated Licensor damages (including third-party licensor losses, reputational harm, investigation costs)
Additional penalty of AUD 50,000 for large-scale resale or public disclosure

These fees are reasonable pre-estimates of actual damages that may be difficult to prove, and supplement rather than replace other legal remedies.

12.4 第三方通知义务 / 12.4 Third-Party Notification

违反本协议（尤其是数据泄露或再分发）时，许可方有权向相关的第三方数据源提供商（如 ASX、交易所、地质调查机构）报告违规行为。这种报告可能导致对被许可方数据访问的进一步限制或终止。被许可方同意承担这种报告可能带来的所有后果。

Upon breach (especially data leaks or redistribution), Licensor has the right to report the breach to relevant third-party data source providers (ASX, exchanges, geological surveys). This reporting may result in further restrictions or termination of Licensee's data access by those providers. Licensee agrees to bear all consequences of such reporting.

12.5 赔偿 / 12.5 Indemnification

被许可方应赔偿、保卫并使许可方及其第三方许可人免受任何第三方索赔、诉讼、罚款、罚款或伤害，这些产生于：(a) 被许可方违反本协议；(b) 被许可方对许可数据的使用；(c) 被许可方上传或提交给平台的数据；或 (d) 被许可方对许可数据的改变或衍生工作。这种赔偿义务包括许可方为抵御此类索赔而支付的所有合理的法律费用和诉讼成本。

Licensee shall indemnify, defend and hold harmless Licensor and its third-party licensors from any third-party claims, litigation, fines, penalties or damages arising from: (a) Licensee's breach of this Agreement; (b) Licensee's use of Licensed Data; (c) data Licensee uploads or submits to the platform; or (d) Licensee's modifications or derivative works from Licensed Data. This indemnification includes all reasonable legal fees and litigation costs incurred by Licensor in defending against such claims.

12.6 生存 / 12.6 Survival

本条（违约后果）以及第 7 条（知识产权）、第 8 条（数据准确性与免责）和第 13 条（联系）的条款应在本协议终止或过期后继续有效，并应在适用法律允许的范围内长期有效。

This Article (Consequences of Breach) and Articles 7 (IP), 8 (Data Accuracy), and 13 (Contact) survive termination or expiration of this Agreement and remain in force as long as permitted by applicable law.
