1.1 定义 / 1.1 Definitions
本协议中,以下词语定义如下(以大写形式出现时适用):
In this Agreement, the following terms have the meanings set out below (when used in capitals):

1.2 解释规则 / 1.2 Interpretation
- 条款标题仅供参考,不影响本协议的解释。Section headings are for reference only and do not affect the interpretation of this Agreement.
- 除非上下文另有所指,"包括"表示"不限于"。Unless context requires otherwise, "include" means "include without limitation".
- 双语版本中,中文版本优先;如有冲突,中文含义为准。In bilingual versions, the Chinese version prevails; in case of discrepancy, the Chinese meaning applies.
第二条Article 2
服务范围Scope of Services
2.1 核心平台服务 / 2.1 Core Platform Services
MiningClawd 根据企业计划向客户提供以下服务:
MiningClawd shall provide the following Services under the Enterprise Plan:
- 全球矿业公司数据库:包含 700+ 上市矿业公司信息(ASX、NYSE、TSX、LSE)、财务数据、运营指标、ESG 披露。Global Mining Database: 700+ listed mining companies (ASX, NYSE, TSX, LSE), financial data, operational metrics, ESG disclosures.
- 矿业情报报告:14 类专业报告(宏观经济、地缘政治、ESG、商品价格、合规、并购、融资等),每月更新。Mining Intelligence Reports: 14 report categories (Macro, Geopolitical, ESG, Commodity, Compliance, M&A, Financing), updated monthly.
- 3D 钻探数据可视化:包括交互式地质模型、钻孔日志数据、品位截断分析和资源估算工具。3D Drilling Visualization: Interactive geological models, borehole logs, grade-cut analysis, resource estimation tools.
- 定制报告与分析:按客户需求定制深度行业分析、交易估值和风险评估报告。Custom Reporting & Analytics: Bespoke deep-dive analysis, M&A valuation, risk assessment tailored to Customer needs.
- 专属账户管理:指定的企业关系经理(ERM),提供战略咨询和优先技术支持。Dedicated Account Management: Assigned Enterprise Relationship Manager providing strategic guidance and priority support.
2.2 AI Agent 服务 / 2.2 AI Agent Services
企业计划包含以下 AI Agent 的不限制访问:
The Enterprise Plan includes unlimited access to the following AI Agents:
- Lobby Agent:政治风险和地缘政治情报助手,监测全球政治事件对矿业的影响。Lobby Agent: Political risk and geopolitical intelligence; monitors global events affecting mining.
- Crabby Agent:商品市场数据分析工具,提供历史和实时市场数据汇总及描述性趋势分析(不构成交易建议或预测)。Crabby Agent: Commodity market data analysis tool; aggregates historical and real-time market data and provides descriptive trend analysis (does not constitute trading advice or forecasting).
- Pincer Agent:并购和融资信息聚合工具,提供公开交易数据检索和描述性分析(不构成金融产品建议或估值意见)。Pincer Agent: M&A and financing information aggregation tool; retrieves public deal data and provides descriptive analysis (does not constitute financial product advice or valuation opinions).
- Clawdia Agent:ESG 和合规助手,监测环境、社会和治理相关风险。Clawdia Agent: ESG and compliance assistant; environmental, social and governance risk monitoring.
2.3 API 访问与集成 / 2.3 API Access & Integration
客户可通过 REST API 集成平台数据至其自有系统,包括:数据查询、报告下载、实时警报订阅。API 访问受速率限制和文档许可条款约束。
Customer may integrate Platform data into its own systems via REST APIs for data queries, report downloads and real-time alert subscriptions. API access is subject to rate limits and documentation licensing.
2.4 培训与入职 / 2.4 Training & Onboarding
MiningClawd 将为客户团队提供不少于 8 小时的初始在线培训和一次现场工作坊(如需要)。此外,客户可在服务期间无限制地访问在线教程、知识库和 Webinar 录像。
MiningClawd shall provide not less than 8 hours of initial online training and one on-site workshop (if required). Customer has unlimited access to online tutorials, knowledge base and webinar recordings during the Service Term.
2.5 服务修改 / 2.5 Service Modifications
MiningClawd 保留权利以改进、修改或中断服务的任何非关键部分,前提条件:(a) 改进或修改不会实质性降低服务功能;(b) 对重大改变提前 30 天书面通知;(c) 如改变不可接受,客户有权在该变更生效前 30 天内以书面形式要求终止受影响的服务,且无需支付提前终止费用。
MiningClawd reserves the right to improve, modify or discontinue any non-critical Service features, provided: (a) improvements or modifications do not materially reduce functionality; (b) material changes are communicated 30 days in advance; (c) if unacceptable, Customer may request termination of affected Services within 30 days of notice, without early termination penalty.
第三条Article 3
授权用户与管理Authorized Users & Administration
3.1 具名用户许可模式 / 3.1 Named User Licensing
客户有权指定不超过订单规定数量的授权用户。每个授权用户需要一个独立的登录凭证。未授权的访问或账号共享属于违反本协议的行为。客户可在任何时间调整授权用户列表,但年内用户增加超过 20% 时应向 MiningClawd 事先通知。
Customer may designate Authorized Users not exceeding the number in the Order Form. Each Authorized User requires a unique login credential. Unauthorised access or account sharing constitutes breach of this Agreement. Customer may adjust the Authorized User list at any time; notification of increases exceeding 20% within one year should be provided to MiningClawd in advance.
3.2 管理员责任 / 3.2 Admin Responsibilities
客户指定的管理员应负责:(a) 维护授权用户列表的准确性;(b) 及时调整访问权限;(c) 禁用已离职员工的账户;(d) 定期审核访问日志;(e) 通知 MiningClawd 任何疑似未授权访问。
Customer's designated admin shall be responsible for: (a) maintaining accuracy of Authorized User lists; (b) promptly adjusting access rights; (c) disabling accounts of departed employees; (d) regularly auditing access logs; (e) notifying MiningClawd of suspected unauthorised access.
3.3 多因素认证 / 3.3 Multi-Factor Authentication
所有授权用户必须启用多因素认证(MFA)进行平台访问。MiningClawd 可在识别安全威胁时强制启用 MFA。客户应制定内部政策以确保 MFA 合规性。
All Authorized Users must enable multi-factor authentication (MFA) for Platform access. MiningClawd may mandate MFA if security threats are identified. Customer shall implement policies to ensure MFA compliance.
第四条Article 4
合同期限与续期Term & Renewal
4.1 初始期限 / 4.1 Initial Term
本协议的初始期限为 12 个月,自生效日起计算。在初始期限满后,协议自动续期,续期期限相同,除非任一方在期限届满前 90 天内以书面形式通知对方不续期。
The initial Service Term is 12 months from the Commencement Date. Upon expiry, the Agreement automatically renews for equal periods unless either party provides written notice of non-renewal at least 90 days before expiry.
4.2 自动续期机制 / 4.2 Auto-Renewal
除非客户在期限届满前 90 天内以书面形式通知 MiningClawd 不续期("不续期通知"),否则协议将自动续期。续期期间适用当时有效的费用和条款(如有调整)。客户可在任何时间提交不续期通知,但必须不迟于期限届满前 90 天。
Unless Customer provides written notice of non-renewal ("Non-Renewal Notice") at least 90 days before expiry, this Agreement automatically renews. Renewal periods are subject to Fees and terms in effect at renewal (as adjusted). Customer may submit Non-Renewal Notice at any time but not later than 90 days before expiry.
4.3 早期终止权 / 4.3 Early Termination
在初始 12 个月期限内,客户如无故终止本协议,应支付相当于剩余未满期协议价值的终止费用。超过初始期限后,任一方均可随时以 30 天书面通知终止协议,无需支付早期终止费,但应支付至终止生效日期止的所有应付费用。
During the initial 12-month Term, if Customer terminates without cause, it shall pay an early termination fee equal to the remaining value of the Agreement. After the initial Term, either party may terminate with 30 days' written notice, without early termination fees, but must pay all Fees accrued through the termination date.
4.4 过渡协助期 / 4.4 Transition Assistance
协议终止时,MiningClawd 将在 30 天内("过渡期")向客户提供合理的协助,包括数据导出、API 访问权限维护和知识交接。超过 30 天后,平台访问将自动禁用,客户数据将按第 12 条规定处理。
Upon termination, MiningClawd shall provide reasonable transition assistance for 30 days ("Transition Period"), including data export, API access maintenance and knowledge handover. After 30 days, Platform access is automatically disabled; Customer Data is handled per Article 12.
第五条Article 5
费用与支付Fees & Payment
5.1 费用结构 / 5.1 Fee Structure

5.2 支付条款 / 5.2 Payment Terms
- 发票周期:MiningClawd 将在服务期开始时发送年度发票。Invoicing: MiningClawd shall issue annual invoice at the start of each Service Term.
- 付款期限:企业客户享受 Net-30 付款条款(发票日期后 30 天内结清)。Due Date: Enterprise customers receive Net-30 terms (payment due within 30 days of invoice).
- 支付方式:银行转账、信用卡或其他 MiningClawd 指定的方式。Payment Methods: Bank transfer, credit card or other methods specified by MiningClawd.
- 滞纳金:逾期未付费用应按月 1.5% 计算利息,或按当地法律允许的最高利率,以较低者为准。Late Payment Interest: Overdue Fees accrue interest at 1.5% monthly or the highest rate allowed by law, whichever is lower.
5.3 价格调整 / 5.3 Price Escalation
自第二个服务期开始,年度费用可按澳大利亚消费者价格指数(CPI)调整,调整幅度不超过 5%。MiningClawd 将在续期前至少 60 天通知客户任何价格调整。如价格调整超过 5%,客户有权在调整生效前 30 天内以书面形式拒绝调整并请求终止协议。
From the second Service Term onwards, annual Fees may be adjusted by the Australian Consumer Price Index (CPI), capped at 5% annually. MiningClawd shall notify Customer of any price adjustment at least 60 days before renewal. If adjustment exceeds 5%, Customer may reject the adjustment and request termination within 30 days before the adjustment takes effect.
5.4 税费 / 5.4 Taxes
所有费用均不含商品及服务税(GST)或等同的增值税。如适用,MiningClawd 将在发票上单独列示 GST。客户应负责支付所有与本协议相关的其他税费,除非法律明确规定由 MiningClawd 承担。
All Fees exclude Goods and Services Tax (GST) or equivalent value-added tax. If applicable, MiningClawd shall itemise GST separately on invoices. Customer is responsible for all other taxes related to this Agreement unless law expressly assigns them to MiningClawd.
第六条Article 6
知识产权Intellectual Property
6.1 平台 IP 所有权 / 6.1 Platform IP Ownership
平台及其所有组件(包括软件代码、数据库结构、UI 设计、算法、报告模板、AI Agent 系统)的所有知识产权属于 Geovision AI Mining Pty Ltd 或其许可方,受澳大利亚及国际知识产权法保护。本协议仅授予客户有限的、非独占的、不可转让的使用权,仅用于按本协议约定的方式访问和使用服务。
All intellectual property in the Platform and its components (including software code, database structure, UI design, algorithms, report templates, AI Agent systems) belongs to Geovision AI Mining Pty Ltd or its licensors, protected by Australian and international IP law. This Agreement grants Customer only a limited, non-exclusive, non-transferable right to use the Services as expressly permitted herein.
6.2 客户数据所有权 / 6.2 Customer Data Ownership
客户保留对其上传、输入或通过平台生成的所有客户数据的完整所有权,包括客户的注释和配置。客户授予 MiningClawd 一项免费、全球性、非独占的许可,用于访问、处理、存储和分析客户数据以提供服务、改进产品功能,以及生成匿名化的平台性能统计。
Customer retains full ownership of all Customer Data, including Customer's annotations and configurations. Customer grants MiningClawd a royalty-free, worldwide, non-exclusive license to access, process, store and analyse Customer Data to provide the Services, improve product features, and generate anonymised platform performance statistics.
6.3 AI 生成内容许可 / 6.3 AI-Generated Content Licensing
客户在本协议期间由 AI Agent 生成的分析、见解和建议("AI 内容")仅供客户内部业务使用,许可期限同本协议有效期。AI 内容的知识产权属于 MiningClawd;客户不得将 AI 内容用于创建竞争产品、对外转售或公开发布,除非获得 MiningClawd 的事先书面同意。
AI-generated analysis, insights and recommendations by AI Agents during the Agreement period ("AI Content") are licensed for Customer's internal business use for the duration of this Agreement. IP in AI Content belongs to MiningClawd; Customer may not use AI Content to create competing products, resell or publicly distribute without MiningClawd's prior written consent.
6.4 反馈与改进 / 6.4 Feedback & Improvements
客户可向 MiningClawd 提供有关平台的反馈、建议和改进想法("反馈")。MiningClawd 可自由使用反馈来改进平台和服务,无需向客户支付任何费用或获得额外许可。
Customer may provide feedback, suggestions and improvement ideas about the Platform ("Feedback"). MiningClawd may freely use Feedback to improve the Platform and Services without payment to Customer or additional licensing.
第七条Article 7
保密条款Confidentiality
7.1 保密义务 / 7.1 Confidentiality Obligations
收到对方保密信息的一方应以不低于保护自身机密信息的标准妥善保管该信息,但不得低于合理谨慎的标准。接收方应:(a) 仅限于有需要知悉的雇员、顾问和承包商披露;(b) 不得用于生产或营销竞争产品;(c) 在合理时间内维护保密性。
The party receiving Confidential Information shall protect it with no less care than it uses to protect its own confidential information, but no less than reasonable care. The recipient shall: (a) disclose only to employees, advisors and contractors with a need to know; (b) not use it to develop or market competing products; (c) maintain confidentiality for a reasonable period.
7.2 排除 / 7.2 Exclusions
保密义务不适用于以下信息:
Confidentiality obligations do not apply to information that:
- 披露时已是公共知识或后来成为公共知识(非因违反本协议);Is public knowledge when disclosed or later becomes public (not due to breach);
- 接收方合法从第三方获得且无保密约束;Lawfully received by recipient from a third party without confidentiality obligations;
- 接收方独立开发,不参考或依赖披露的信息;Independently developed by recipient without reference to or reliance on disclosed information;
- 根据法律或监管要求必须披露(如法院命令),但前提是接收方向披露方提前通知。Required to be disclosed by law or regulation (e.g. court order), provided recipient gives the discloser advance notice.
7.3 保密期限 / 7.3 Duration
本保密条款在本协议终止后继续有效,期限为三 (3) 年,届时保密义务自动解除,除非信息受专有技术或商业秘密法保护,此时应按适用法律规定的期限保护。
This confidentiality obligation survives termination of this Agreement for three (3) years, after which confidentiality obligations cease, unless the information is protected as a trade secret or proprietary information, in which case protection continues per applicable law.
第八条Article 8
数据保护Data Protection
8.1 参考 DPA / 8.1 Reference to Data Processing Agreement
重要通知Important Notice
数据处理的详细条款列示于独立的《数据处理协议》(MC-LEGAL-12),该协议通过参考并入本协议,是本协议不可分割的一部分。
Detailed data processing terms are set out in the separate Data Processing Agreement (MC-LEGAL-12), which is incorporated by reference and forms an integral part of this Agreement.
8.2 数据处理角色 / 8.2 Data Processing Roles
在处理个人数据方面,客户是数据控制方,MiningClawd 是数据处理方。双方应根据澳大利亚《隐私法 1988》及适用的国际隐私法(包括 GDPR,如涉及欧盟个人数据)进行合作。
In relation to personal data processing, Customer is the data controller and MiningClawd is the data processor. The parties shall cooperate per the Australian Privacy Act 1988 and applicable international privacy law (including GDPR for EU personal data).
8.3 跨境数据传输 / 8.3 Cross-Border Data Transfers
MiningClawd 的平台基础设施位于澳大利亚及其他国家/地区。客户数据可能出于备份和冗余目的跨国存储。MiningClawd 将采取适当的技术和组织措施确保数据在国际传输中的安全性和隐私。客户应确保其拥有所有必要的同意以跨境传输数据。
MiningClawd's infrastructure is located in Australia and other jurisdictions. Customer Data may be stored internationally for backup and redundancy. MiningClawd shall implement appropriate technical and organisational measures to secure data during international transfers. Customer shall ensure it has all necessary consents for cross-border data transfer.
8.4 数据泄露通知 / 8.4 Data Breach Notification
如 MiningClawd 发现或合理怀疑存在客户数据泄露、未经授权访问或丢失,应在发现或合理知悉后 24 小时内通知客户。通知应包含泄露性质、受影响数据范围、可能影响及已采取或计划采取的补救措施。
If MiningClawd discovers or reasonably suspects a breach, unauthorised access or loss of Customer Data, it shall notify Customer within 24 hours of discovery or becoming aware of it. Notification shall include the nature of the breach, scope of affected data, potential impact and remedial measures taken or planned.
8.5 隐私法合规 / 8.5 Privacy Law Compliance
MiningClawd 遵守澳大利亚《隐私法 1988》及其他适用的隐私法规。有关数据隐私、访问权和删除权的详细信息,请参考《隐私政策》(MC-LEGAL-02)和《数据处理协议》(MC-LEGAL-12)。
MiningClawd complies with the Australian Privacy Act 1988 and other applicable privacy laws. For details on data privacy, access rights and deletion rights, refer to the Privacy Policy (MC-LEGAL-02) and Data Processing Agreement (MC-LEGAL-12).
第九条Article 9
陈述与保证Representations & Warranties
9.1 相互陈述 / 9.1 Mutual Representations
双方相互陈述和保证:(a) 其为合法存在的实体,有权就本协议进行协商和达成;(b) 代表其进行谈判和签署的人士拥有必要的权限;(c) 本协议构成其合法有约束力的义务,可强制执行。
Each party represents and warrants that: (a) it is a legally existing entity with authority to negotiate and enter into this Agreement; (b) its representatives have authority to bind it; (c) this Agreement is a valid, binding and enforceable obligation.
9.2 MiningClawd 保证 / 9.2 MiningClawd Warranties
在本协议有效期内,MiningClawd 保证:
During the Service Term, MiningClawd warrants that:
- 服务将以专业和商业合理的标准提供,符合本协议的规格;Services will be provided to professional and commercially reasonable standards, conforming to this Agreement's specifications;
- 平台将在 99.5% 的时间内可用(每月不超过 21.6 小时的计划外停机时间),不包括定期维护;The Platform will be available 99.5% uptime (max 21.6 hours unscheduled downtime monthly), excluding scheduled maintenance;
- MiningClawd 拥有或已获取平台内容和功能所有必要的权利和许可;MiningClawd owns or has obtained all necessary rights and licenses for Platform content and features;
- MiningClawd 将采取合理的措施保护客户数据免受未经授权的访问、丢失或泄露;MiningClawd will take reasonable measures to protect Customer Data from unauthorised access, loss or disclosure;
- MiningClawd 不知悉平台侵犯任何第三方的知识产权。MiningClawd has no knowledge that the Platform infringes any third-party IP rights.
9.3 客户保证 / 9.3 Customer Warranties
客户保证:
Customer warrants that:
- 拥有或获得所有必要的权利,可上传和使用本协议下的客户数据;It owns or has obtained all rights necessary to upload and use Customer Data under this Agreement;
- 客户数据的使用不违反任何第三方权利或适用法律;Use of Customer Data does not violate any third-party rights or applicable law;
- 客户数据不包含恶意代码、病毒或其他有害物质;Customer Data contains no malware, viruses or other harmful code;
- 客户拥有合法的业务目的使用平台,不用于非法或有害活动。Customer has a legitimate business purpose for using the Platform and not for illegal or harmful activities.
9.4 保证排除 / 9.4 Warranty Disclaimers
免责声明Disclaimer
除本条第 9.2 至 9.3 款明确表述的保证外,MiningClawd 对平台、服务和客户数据不提供任何其他明示或默示的保证,包括关于可销售性、适销性、特定用途适配性的保证。平台按"现状"和"可用时"提供。
Except as expressly stated in Articles 9.2–9.3, MiningClawd makes no other express or implied warranties regarding the Platform, Services or Customer Data, including merchantability, fitness for purpose. The Platform is provided 'as is' and 'as available'.
第十条Article 10
赔偿Indemnification
10.1 MiningClawd 赔偿 / 10.1 MiningClawd Indemnification
MiningClawd 应赔偿、保护和免除客户及其高管、董事和员工免受任何第三方声称平台(不包括客户数据)侵犯其知识产权的索赔、诉讼、损害赔偿和费用,前提条件是:(a) 客户及时通知 MiningClawd;(b) MiningClawd 控制辩护或和解;(c) 客户提供合理的协助。
MiningClawd shall indemnify, defend and hold harmless Customer and its officers, directors and employees from any third-party claims that the Platform (excluding Customer Data) infringes their IP rights, including lawsuits, damages and costs, provided: (a) Customer promptly notifies MiningClawd; (b) MiningClawd controls defence or settlement; (c) Customer provides reasonable assistance.
10.2 客户赔偿 / 10.2 Customer Indemnification
客户应赔偿、保护和免除 MiningClawd 及其高管、董事和员工免受任何第三方声称客户数据或客户对平台的使用侵犯其权利的索赔、诉讼、损害赔偿和费用。
Customer shall indemnify, defend and hold harmless MiningClawd and its officers, directors and employees from any third-party claims that Customer Data or Customer's use of the Platform infringes their rights, including lawsuits, damages and costs.
10.3 赔偿程序 / 10.3 Indemnification Procedure

- 被赔偿方应合理配合赔偿方的防御,包括提供证据和信息。The indemnified party shall reasonably cooperate in the defence, including providing evidence and information.
10.4 知识产权索赔的唯一救济 / 10.4 Exclusive Remedy for IP Claims
对于知识产权侵权索赔,赔偿是被赔偿方的唯一救济。如平台因 IP 侵权被禁止使用且无法修改,MiningClawd 可选择获取替代方案或修改服务,或终止本协议并退款。
For IP infringement claims, indemnification is the exclusive remedy for the indemnified party. If the Platform is prohibited from use due to IP infringement and cannot be modified, MiningClawd may obtain alternatives, modify the Services, or terminate the Agreement with a refund.
10.5 赔偿限额 / 10.5 Indemnity Limitations
MiningClawd的知识产权赔偿义务上限为索赔事件发生前12个月客户实际支付的费用总额。赔偿不适用于以下情形:(a)因客户修改平台所引起的索赔;(b)平台与非MiningClawd产品组合使用导致的侵权;(c)遵循客户特殊要求而产生的侵权风险;(d)因未支付费用导致许可暂停期间的使用。
MiningClawd's IP indemnification obligation is capped at total fees actually paid by Customer in the 12 months preceding the claim event. Indemnity does not apply to: (a) claims arising from Customer modifications to the platform; (b) infringement caused by combination with non-MiningClawd products; (c) infringement risk arising from compliance with Customer specifications; (d) use during licence suspension due to non-payment.

在澳大利亚消费者法(ACL)强制性保证范围外,任一方因本协议或相关服务造成的累计责任不得超过索赔发生前 12 个月内客户支付给 MiningClawd 的费用总额。
Except for ACL mandatory guarantees, either party's aggregate liability arising from this Agreement or related Services shall not exceed the total Fees paid by Customer to MiningClawd in the 12 months preceding the claim.
11.2 间接损害赔偿排除 / 11.2 Exclusion of Indirect Damages
在最大范围内,任一方对因本协议产生的任何间接、附带、特殊、衍生或后果性损害赔偿,包括但不限于利润损失、收入损失、业务中断、数据丧失、声誉损害,不承担责任,即使被告知该等损害赔偿的可能性。
To the maximum extent permitted, neither party shall be liable for any indirect, incidental, special, consequential or punitive damages arising from this Agreement, including lost profits, lost revenue, business interruption, data loss or reputational harm, even if advised of the possibility thereof.

强制保证Mandatory Guarantees
本条款中的任何内容均不排除、限制或修改澳大利亚消费者法下不可排除、限制或修改的任何权利或补救(包括ACL第51-62条下的法定保证)。
Nothing in this clause excludes, restricts or modifies any rights or remedies which cannot be excluded, restricted or modified under the Australian Consumer Law (including the statutory guarantees under sections 51–62 of the ACL).
11.4 ACL 保留权 / 11.4 ACL Carve-out
本协议中的任何条款不得排除或限制2010年《竞争与消费者法》(联邦)附表2(澳大利亚消费者法)下不可排除的法定保证,包括但不限于可接受质量的保证、适当谨慎和技能的保证及适合特定目的的保证,以及该法第275条下的任何权利或补救。
Nothing in this Agreement excludes or limits any non-excludable statutory guarantee under Schedule 2 (Australian Consumer Law) of the Competition and Consumer Act 2010 (Cth), including but not limited to the guarantees of acceptable quality, due care and skill, and fitness for particular purpose, or any right or remedy under section 275 of that Act.

终止Termination
12.1 因违规终止 / 12.1 Termination for Cause
如一方违反本协议的重大条款,对方可向其发送书面通知,列明违规内容,要求在 30 个日历日内修正("治疗期")。如违规方在治疗期内未能修正,对方可自行选择:(a) 向仲裁人申请强制执行;(b) 立即终止本协议,并对因违规造成的损失提出索赔。
If either party breaches a material provision, the other may serve written notice specifying the breach and requiring cure within 30 calendar days ("Cure Period"). If the breaching party fails to cure within the Cure Period, the non-breaching party may elect to: (a) refer the matter to arbitration for enforcement; or (b) immediately terminate the Agreement and claim damages for losses caused by the breach.
12.2 因无力清偿终止 / 12.2 Termination for Insolvency
如任一方无力清偿债务、进入清算、被接管人接管、经营停止或无法按照本协议支付费用,另一方可立即终止本协议而无需进行治疗期的治疗。
If either party becomes insolvent, enters liquidation, is placed under administration, ceases operations or is unable to pay Fees per this Agreement, the other party may immediately terminate without a Cure Period.
12.3 终止的效果 / 12.3 Effect of Termination
本协议终止时:
Upon termination of this Agreement:
- 数据导出:MiningClawd 将为客户提供一份其客户数据的完整备份副本,格式为通常的数据导出格式(如 CSV、JSON),为期 30 天。Data Export: MiningClawd shall provide Customer with a complete backup copy of Customer Data in standard export formats (e.g. CSV, JSON) for 30 days.
- 访问禁用:30 天过渡期后,平台访问被自动禁用。Access Disabled: Platform access is automatically disabled after the 30-day Transition Period.
- 数据删除:客户数据在禁用访问后 60 天内根据第 8 条规定,从主动平台中删除(保留备份除外)。Data Deletion: Customer Data is deleted from active Platform within 60 days after access is disabled per Article 8 (except backups).
- 费用结算:客户应支付至终止日期为止的所有应付费用。因违规而受害方的损害赔偿请求不受影响。Fee Settlement: Customer shall pay all accrued Fees through the termination date. The non-breaching party's damages claim is unaffected.
12.3A 提前终止费 / 12.3A Early Termination Fee
初始12个月期限内提前终止的,客户应支付终止费 = (剩余月数 ÷ 12) × 年费 × 50%。初始期限届满后,任何一方可提前30天书面通知终止,无需支付提前终止费。因我方根本性违约(持续30天以上未纠正)导致客户终止的,不收取任何终止费,并按比例退还预付费用。
Early termination within initial 12-month term: Customer pays Termination Fee = (Months Remaining ÷ 12) × Annual Fee × 50%. After initial term expiry, either party may terminate with 30 days' written notice without early termination fee. Where Customer terminates due to our material breach (uncured for 30+ days), no termination fee applies and prepaid fees are refunded pro-rata.
12.4 存续条款 / 12.4 Survival
以下条款在本协议终止后继续有效:第 6 条(知识产权)、第 7 条(保密)、第 8 条(数据保护)、第 10 条(赔偿)、第 11 条(责任限制)、第 14 条(争议解决)和第 15 条(一般条款)。
The following survive termination: Articles 6 (IP), 7 (Confidentiality), 8 (Data Protection), 10 (Indemnification), 11 (Liability Limitations), 14 (Dispute Resolution) and 15 (General Provisions).

不可抗力Force Majeure
13.1 定义与效果 / 13.1 Definition & Effect
不可抗力是指任一方无法合理预防或控制的突发事件,包括自然灾害(地震、洪水)、战争、恐怖主义、流行病、政府行为、重大网络攻击或其他类似事件。不可抗力事件可免除受影响方在该事件持续期间对本协议的性能义务,但受影响方应采取合理措施减少影响。
Force Majeure is an unforeseeable event beyond reasonable control of either party, including natural disasters, war, terrorism, pandemic, government action, major cyber attacks or similar events. A Force Majeure event excuses the affected party's performance obligations under this Agreement during the event, provided the affected party takes reasonable steps to mitigate impact.
13.1A 流行病不可抗力特别条款 / 13.1A Pandemic Force Majeure Special Provisions
流行病事件适用条件:(a)世界卫生组织(WHO)宣布国际关注的突发公共卫生事件,且(b)影响平台三个主要服务区域(澳大利亚、美国、欧盟)中的至少两个。缓解措施:故障转移至冗余区域、披露临时性能降低。如平台功能持续降低超过50%且持续超过90天,任何一方可提前30天书面通知终止协议,客户有权获得预付费用的全额退款。平台应维护并可应要求提供业务连续性计划。
Pandemic qualification: (a) WHO declares Public Health Emergency of International Concern AND (b) affects at least 2 of 3 primary service regions (Australia, US, EU). Mitigation: failover to redundant region, disclosure of temporary performance reduction. If platform functionality reduced >50% for >90 consecutive days, either party may terminate with 30 days' written notice; Customer entitled to full refund of prepaid fees. Platform shall maintain and make available on request a business continuity plan.
13.2 通知义务 / 13.2 Notification Obligations
受影响方应在发现或理应知悉不可抗力事件后 5 个营业日内,通知另一方:(a) 不可抗力事件的性质;(b) 预计持续时间;(c) 预期影响;(d) 已采取或计划采取的恢复措施。
The affected party shall notify the other within 5 Business Days of discovering or should have discovered the Force Majeure event: (a) nature of the event; (b) expected duration; (c) anticipated impact; (d) recovery measures taken or planned.
13.3 扩展期限与终止权 / 13.3 Extended Duration & Termination Right
如不可抗力事件持续超过 90 个日历日,未受影响方可以 15 天书面通知终止本协议。在此情况下,任一方都可申请按比例退款或费用调整。
If the Force Majeure event continues beyond 90 calendar days, the unaffected party may terminate with 15 days' written notice. Either party may request prorated refunds or fee adjustments.
13.4 不适用情形 / 13.4 Exclusions
不可抗力不包括:(a) 一方的财务困难或破产;(b) 一方缺乏资金或资源;(c) 一方已预知但未采取必要防护措施的事件;(d) 通常可通过合理商业努力预防或避免的事件。
Force Majeure excludes: (a) financial difficulties or insolvency of either party; (b) lack of funds or resources; (c) events foreseen but unpreventable by reasonable effort; (d) events normally preventable through reasonable commercial efforts.
第十四条Article 14
争议解决Dispute Resolution
14.1 善意谈判 / 14.1 Good Faith Negotiation
任何争议、分歧或索赔首先应由双方的高级代表通过善意谈判在 30 天内解决。如 30 天内无法解决,争议应提交调解。
Any dispute, disagreement or claim shall first be resolved by senior representatives of both parties through good faith negotiation within 30 days. If unresolved within 30 days, the dispute shall be referred to mediation.
14.2 调解 / 14.2 Mediation
如谈判失败,任一方可请求通过澳大利亚仲裁与争议解决协会(ACICA)进行调解。调解应在墨尔本进行,由双方同意的中立调解员主持。调解费用由双方平均承担。调解应在申请提出后 60 天内进行,除非双方另有协议。
If negotiation fails, either party may request mediation through the Australian Disputes Centre (ACICA). Mediation shall be held in Melbourne, conducted by a neutral mediator agreed by both parties. Mediation costs are shared equally. Mediation shall occur within 60 days of request unless agreed otherwise.
14.3 仲裁 / 14.3 Binding Arbitration
如调解在 60 天内未能解决争议,任一方可将争议提交有约束力的仲裁。仲裁应根据《1974年国际仲裁法》(联邦)进行,由一名仲裁员(或如争议金额超过 AUD 100 万则由三名仲裁员)主持。仲裁应在墨尔本进行。败诉方应承担胜诉方的合理法律费用和诉讼费用。
If mediation fails to resolve the dispute within 60 days, either party may refer to binding arbitration. Arbitration shall proceed under the International Arbitration Act 1974 (Cth), administered by one arbitrator (or three if the dispute exceeds AUD 1 million). Arbitration shall be held in Melbourne. The losing party shall bear the prevailing party's reasonable legal fees and costs.
14.4 紧急救济 / 14.4 Urgent Interim Relief
尽管有上述条款,任一方均可在澳大利亚法院寻求紧急临时救济(如禁令或冻结令),以防止不可逆转的伤害或维持现状。该等申请不构成对本条款的放弃。
Notwithstanding the above, either party may seek urgent interim relief in Australian courts (e.g. injunctive relief) to prevent irreparable harm or preserve the status quo. Such an application is not a waiver of this provision.

一般条款General Provisions
15.1 完整协议 / 15.1 Entire Agreement
本协议及其所有附件和引用的文件(包括订单、DPA 和数据处理协议)构成双方就本协议主题事项的完整协议,取代所有先前的协议、谈话、谅解和承诺(无论书面或口头)。
This Agreement, together with all Schedules and referenced documents (including Order Forms, DPA and related agreements) constitutes the entire agreement between the parties regarding its subject matter, superseding all prior agreements, discussions, understandings and commitments, written or oral.
15.2 修订 / 15.2 Amendment
本协议不得修改、补充或变更,除非以书面形式由双方的授权代表签署。通过继续使用平台不构成对本协议条款的修改。
This Agreement may not be modified, amended or changed except in writing signed by authorized representatives of both parties. Continued use of the Platform does not constitute amendment of the terms.
15.3 放弃 / 15.3 Waiver
一方未能行使或强制执行本协议任何权利或条款不构成对该权利的放弃。任何权利的放弃必须以书面形式作出,但仅适用于特定场景,不损害对其他违规的救济权。
A party's failure to exercise or enforce any right or provision does not constitute a waiver thereof. Any waiver must be in writing and applies only to the specific circumstance, without prejudicing rights regarding other breaches.
15.4 可分性 / 15.4 Severability
如本协议任何条款被司法机关认定为无效、非法或不可强制执行,该条款应在必要范围内予以修改或删除,以使其有效,但不应影响其他条款的有效性。
If any provision is held invalid, illegal or unenforceable by a court, it shall be modified or severed to the extent necessary to make it valid, without affecting the validity of other provisions.
15.5 转让 / 15.5 Assignment
客户不得转让、质押或以其他方式转让本协议或其任何权利,除非经 MiningClawd 事先书面同意。MiningClawd 可自由转让本协议,但应提前 30 天通知客户。任何未经授权的转让均无效。
Customer may not assign, pledge or otherwise transfer this Agreement or its rights without MiningClawd's prior written consent. MiningClawd may freely assign this Agreement with 30 days' notice. Any unauthorized assignment is void.
15.6 通知 / 15.6 Notices
本协议项下的任何通知应以书面形式作出,通过以下方式送达相应方的指定代表:(a) 个人送达;(b) 挂号信或认证邮件(邮寄后 5 个营业日视为送达);(c) 电子邮件至指定地址(发送后 2 个营业日视为送达)。
Notices under this Agreement shall be in writing, delivered to the designated representative via: (a) personal delivery; (b) registered or certified mail (deemed delivered 5 Business Days after mailing); (c) email to specified address (deemed delivered 2 Business Days after sending).
15.7 双方关系 / 15.7 Relationship of Parties
MiningClawd 和客户是独立的承包商关系。本协议不创建合伙、联合企业、代理、员工或特许经营关系。双方均无权以对方名义签订合同或承担义务。
MiningClawd and Customer are independent contractors. This Agreement does not create a partnership, joint venture, agency, employment or franchising relationship. Neither party has authority to contract on behalf of the other or assume obligations in the other's name.
15.8 适用法律 / 15.8 Governing Law
本协议应按澳大利亚维多利亚州法律解释和管辖,不适用国际私法原则。
This Agreement shall be interpreted and governed by the laws of Victoria, Australia, without regard to principles of international private law.
15.9 英文版本优先 / 15.9 Language
本协议用中文和英文两种语言编制。如翻译与原文不符,英文版本优先;但如双方均为中文使用者且明确同意以中文版本为准,则中文版本优先。
This Agreement is prepared in Chinese and English. If translations conflict with the original, the English version prevails; however, if both parties are Chinese speakers and expressly agree the Chinese version governs, the Chinese version shall prevail.

This Agreement may be executed in counterparts, each constituting an original, and together forming one agreement. Electronic signatures (e.g. DocuSign, Adobe Sign) are equivalent to handwritten signatures.
